UNSOLICITED MATERIALS RELEASE

I have contacted V-me and would like to submit a written proposal for consideration by V-me (the “Proposal”).

I hereby warrant that I am the sole owner and/or author of the Proposal and that I have the exclusive right and authority to submit the Proposal to V-me.

I am executing this release to induce V-me to review, examine, or otherwise evaluate and consider the Proposal and I acknowledge that until this release is executed V-me will not review or examine the Proposal.

I agree that V-me has no obligation to review, examine or accept, the Proposal and that I retain the right to submit the Proposal to third parties.

I further acknowledge and agree that unless and until V-me has executed a contract with me for the development of the Proposal, (i) no relationshp, confidential, fiduciary or otherwise exists between V-me and me; (ii) V-me may have access to materials, ideas, and creative works which may be similar or identical to those in the Proposal with regard to theme, plots, characters, formats, or other attributes and V-me may use without obligation to me any material in the Proposal which is not legally protected; and (iii) I will not be entitled to any compensation as a result of the use of any such similar or identical material since that material may have been created by V-me or other independent sources.

I hereby acknowledge that I have retained at least one copy of the Proposal and that V-me has no obligation to return the Proposal. I hereby release V-me from any and all liability for loss of, or damage to, any and all copies of the Proposal submitted to V-me. I hereby agree that this release shall be binding on me and my heirs, executors, representatives, and assigns.

I hereby agree that (i) this release constitutes the entire agreement between V-me and me with respect to the Proposal; (ii) this release may not be modified in any manner except by a written instrument signed by both parties; (iii) no oral representations of any kind have been made to me.

The words “V-me” in this release refer to V-me's officers, agents, employees, stockholders, successors and assigns. If the Proposal is submitted by more than one person, or by a firm, corporation, or other entity, the words “I,” “my” or “me” shall refer to all persons, firms, or other entities, and this release will be binding jointly and severally upon all such persons, firms, corporations or other entities.

All questions concerning the construction, validity and interpretation of this release and the performance of any obligations under this release shall be governed by the laws of New York.

I warrant and represent that I have read the above release prior to its execution and that I am fully familiar with and understand the contents hereof.
